Terms of Sale
Terms of Sale
- Article 1 Purpose
- These terms (the “Terms of Sale”) set out the rights, obligations, and responsibilities of Sellers and Autowini Inc. (the “Company”), the procedures for using the service, and other necessary matters in connection with the overseas consignment sales service, under which the Company accepts consignments of products from Sellers for overseas sale and sells them to overseas buyers in its own name.
- Article 2 Definitions
- The main terms used in these Terms are defined as follows.
- 1. “Autowini” means the online platform operated by the Company to sell products consigned by Sellers to overseas buyers in the Company’s own name, including the website, mobile web, and applications. Depending on the context, it may also refer to the Company as the operator of the platform.
- 2. “Seller” means a person who has agreed to these Terms, consigns to the Company the overseas sale of products that the person owns or has the lawful right to dispose of, and has entered into a service agreement with the Company for the overseas consignment sales service.
- 3. “Service” means the series of tasks the Company performs, for products a Seller has consigned to the Company for overseas sale (“Consigned Products”), in order to conclude sales contracts with overseas buyers in the Company’s own name and perform them, including overseas advertising, buyer consultation, conclusion of sales contracts, issuance of invoices, vehicle inspection, shipping and logistics, export document support, claim handling, and settlement with the Seller.
- 4. “Buyer” means an overseas member who expresses an intention to purchase a Consigned Product sold by the Company through the Autowini platform and enters into a sales contract with the Company.
- 5. “Membership” means the member tier or service benefit system granted according to criteria set by Autowini. The types, conditions, and benefits of Membership may change according to Company policy.
- 6. “Settlement Amount” means the consignment sale settlement amount the Company pays to the Seller under these Terms, calculated as the sale price of the Consigned Product minus the service fee (Processing Fee) under Article 10 and other agreed settlement items. The Company pays this amount to the Seller.
- 7. The meaning of any term not defined in this Article is governed by applicable laws and general business practice.
- Article 3 Purpose of the Overseas Consignment Sales Service and Role of the Company
- 1. The Company provides an overseas consignment sales service under which it accepts consignments of Consigned Products from Sellers for overseas sale, concludes sales contracts with overseas buyers in its own name, and performs the work required to fulfill those contracts.
- 2. The Company provides Sellers with an account to use the dedicated sales system so that Sellers can register Consigned Products themselves.
- 3. To ensure the smooth overseas sale of Consigned Products registered by Sellers, the Company uses professional staff to perform overseas consignment sales work, including overseas marketing, finding and consulting with buyers, concluding contracts, inspection, shipping and logistics, and after-sales management. The Company makes reasonable efforts to sell Consigned Products in accordance with the sales conditions set by the Seller and these Terms.
- 4. To protect Sellers’ personal information, the Company establishes a Privacy Policy, designates and discloses a chief privacy officer, and operates the policy in good faith.
- 5. To help Sellers’ Consigned Products sell smoothly, the Company provides Sellers with the services set out in Article 4 (Scope of the Overseas Consignment Sales Service) and faithfully performs the Company’s duties set out in Article 7 (Rules for Each Stage of the Overseas Consignment Sales Service). For additional services or expanded work not specified in these Terms, the Company may request a separate agreement or additional charges.
- 6. In sales contracts for Consigned Products concluded with overseas buyers, the Company acquires contractual rights and bears obligations in its own name. However, the Seller’s liability for matters the Seller must provide or warrant, such as ownership, defects, mileage, and accident history of the Consigned Product, is governed by these Terms and applicable laws, including the Commercial Act.
- 7. A consignment sales relationship is formed between the Company and the Seller, and a separate sales contract is formed between the Company and the overseas buyer. The parties to the sales contract with the overseas buyer are the Company and the overseas buyer, and the Seller is not a direct party to that sales contract. The rights, obligations, and settlement between the Company and the Seller are governed by these Terms.
- 8. The Company receives payments from overseas buyers as payment of receivables under its own sales contracts, and does not receive, hold, or pay foreign currency on behalf of, or for, the Seller. The Seller has no right to claim payment from any overseas buyer, and the Seller’s rights are limited to the right to claim the Settlement Amount from the Company.
- Article 4 Scope of the Overseas Consignment Sales Service

Dedicated transaction management: communicating with overseas buyers and identifying their requirements throughout all of the above work, in order to perform the sales contract and complete the consignment sale transaction
- 2. The Company receives sales proceeds into an account in the Company’s name under the sales contracts it concludes with overseas buyers. When a consignment sale is completed and the payment requirements set out in these Terms are met, the Company pays the Seller the Settlement Amount, which reflects the agreed service fee, freight, and other settlement items.
- 3. - 6. The Company provides Sellers with the information necessary to use the Service without difficulty and, if necessary, may ask Sellers to complete questionnaires or provide information.
- Article 5 Obligations and Responsibilities of the Seller
- 1. The Seller may consign the overseas sale of Consigned Products to the Company within the product categories set by the Company and must register and manage the consignment conditions (including Consigned Product information, desired sale price, warranties, and discounts) directly through the dedicated sales system provided by the Company.
- 2. The Seller may decide the transaction conditions registered under the preceding paragraph on its own, taking into account the service fee and other costs, and the Company will not intervene in the process of deciding transaction conditions without reasonable grounds. However, to prevent the Seller from being disadvantaged, the Company may separately decide matters related to transaction conditions within reasonable limits and within the scope of its usage policies.
- 3. The Seller must accurately enter and register Consigned Product information through the dedicated seller system provided by the Company, promptly correct and supplement any changes to keep the information up to date, and accurately provide any related information requested by the Company.
- 4. The Seller must properly manage data on matters that may change from time to time, including the price of Consigned Products.
- 5. The Seller must not sell directly to, or encourage purchases by, the Company’s overseas customers (buyers), or sell Consigned Products directly, without going through the Company’s Service.
- 6. The Seller must accurately describe Consigned Products, comply with the duty of disclosure under the principle of good faith, and cooperate fully so that the Company can carry out responsible overseas consignment sales to overseas buyers.
- 7. The Seller is responsible for managing its site account and may not transfer or lend its account to any other person under any circumstances.
- 8. The Seller must faithfully comply with Article 7 (Rules for Each Stage of the Overseas Consignment Sales Service) and must resolve claims raised by buyers after a sale in accordance with Article 11 (Claim Compensation Standards).
- 9. The Seller must not sell or register Consigned Products that are subject to export permission under Article 19 of the Foreign Trade Act or that cannot be sold overseas under applicable laws.
- 10. If the Seller registers Consigned Products through a third-party program instead of the dedicated sales system, the Company bears no responsibility for any resulting technical or legal problems, and the Seller is liable for all resulting damages.
- 11. If the Seller fails to perform the obligations set out in this Article, or if it is objectively determined that the Seller will have difficulty continuing its sales activities due to bankruptcy, business closure, or other reasons, the Company may restrict the Seller’s use of the Service, suspend the Seller’s status, terminate the Service under these Terms, or take other necessary measures against the Seller. The Company may also claim damages from the Seller for any loss the Company has suffered.
- Article 6 Procedure for the Overseas Consignment Sales Service
-
1. The overseas consignment sales service proceeds according to the following procedure. The detailed rules and obligations for each stage are as set out in the items below. Other detailed operational matters are determined reasonably according to the circumstances at the time and customary industry practice.
a. Stage 1: The Seller registers on the site, using the dedicated seller system, the Consigned Products it wishes to have the Company sell. b. Stage 2: The Company promotes the registered Consigned Products to prospective overseas buyers using its overseas customer database, social media channels, advertising, and other means. c. Stage 3: The Company responds to buyers’ inquiries and requests in good faith, forwards necessary matters to the Seller, and informs the buyer after receiving the Seller’s answer. d. Stage 4: The Company sends an invoice to the buyer who has expressed an intention to purchase and notifies the Seller by text message that the invoice has been sent. The Seller may not sell the Consigned Product elsewhere for 3 business days from the date of notification. If the Seller has already sold the Consigned Product elsewhere and the Company therefore cannot perform the sales contract concluded with the buyer, the Seller bears a penalty. The calculation of penalties and compensation standards are governed by Article 7 (Rules for Each Stage of the Overseas Consignment Sales Service). e. Stage 5: When the sale to the buyer is confirmed, the Company notifies the Seller by text message. The Seller may not sell the Consigned Product elsewhere for 10 business days from the date of notification. If the Seller has already sold the Consigned Product elsewhere and the Company therefore cannot perform the sales contract concluded with the buyer, the Seller bears a penalty. The calculation of penalties and compensation standards are governed by Article 7 (Rules for Each Stage of the Overseas Consignment Sales Service). f. Stage 6: When the Company begins the procedures for performing the sales contract, it notifies the Seller by text message that the registration of export documents and the delivery-in procedure have begun. g. Stage 7: To proceed with export, the Seller registers the Export Declaration Certificate and the Certificate of Deregistration of Motor Vehicle (or Certificate of Scrapped Vehicle Acceptance) for the Consigned Product on the transaction history page. h. Stage 8: The Company dispatches a carrier to deliver the Consigned Product to the port or another designated place for shipment. If the dispatch distance exceeds the standard distance, the Company may charge the Seller an additional fee or require the Seller to arrange transport and deliver the vehicle to the designated place itself. i. Stage 9: The Company checks the condition of the delivered Consigned Product and conducts a quality inspection. The Company notifies the Seller whether the product has passed or failed the inspection. If the product fails, the Company notifies the Seller and may cancel the transaction for that Consigned Product or request repair or compensation to resolve the problem. Specific penalties are governed by Article 7 (Rules for Each Stage of the Overseas Consignment Sales Service (Obligations and Penalties)) and agreement between the parties. If the Seller does not raise an objection or respond within 5 business days from the date the Company notifies the Seller of the inspection result, the Seller is deemed to have agreed to the inspection result. j. Stage 10: The Company pays the Settlement Amount to the Seller’s designated account for Consigned Products that have passed the quality inspection. k. Stage 11: The Company books shipping space and ships the Consigned Product. After shipment is completed, the Company obtains the bill of lading. l. Stage 12: The Company sends the necessary documents and the bill of lading to the buyer. m. Stage 13: If the Company receives a quality-related claim from the buyer after the Consigned Product arrives at the destination port, the Company accepts the claim, consults with the buyer, and provides compensation in accordance with Article 11 (Claim Compensation Standards).

If the Seller violates the guidelines, the Company may take necessary measures, such as modifying the listing or stopping its display, in accordance with these Terms and its policies.

- Article 13 Contract Period
- 1. The contract period for the overseas consignment sales service begins on the date the Seller has submitted the application and service agreement and the deposit has been paid to the Company.
- 2. The contract period is one year and is automatically renewed for successive one-year periods on the same terms unless either party expresses an intention to end the contract. However, if the contract is terminated during the contract period at the Seller’s discretion or for reasons attributable to the Seller, the deposit already paid will not be refunded.

- 2. If the Company terminates the contract due to the Seller’s fault, it will notify the Seller of the reason for termination by an appropriate method, such as email, fax, in person, phone call, or text message, and the contract ends at the time of notification. If necessary, the Company may give the Seller an opportunity to state its opinion on the reason for termination.
- 3. Even if the contract is terminated, if there are consignment sale transactions in progress, the Seller and the Company will make their best efforts to complete them. The Company may also claim incidental costs arising from the damage.
- 4. After the contract ends and all consignment sale transactions in progress have been completed, the Seller may apply to the Company for a refund of the deposit. Terms of Purchase
Terms of Purchase
- Article 1 [Purpose]
-
- These Terms set out the basic matters between Autowini Inc. (“Autowini” or the “Company”) and buyers, including their rights and obligations, the conclusion and performance of sales contracts, payment, and cancellation and refunds, in connection with the Company selling, in its own name, products that sellers have consigned to it for sale to overseas buyers.
- Article 2 [Use of Services and Transaction Relationship]
-
- 1. Buyer must use the services in compliance with these Terms and the usage policies set by Autowini. If Buyer violates them, Buyer’s use of the services may be restricted.
- 2. Autowini accepts consignments from sellers for the overseas sale of products and performs the work required for overseas sales, including overseas marketing, buyer consultation, conclusion of sales contracts, issuance of invoices, vehicle inspection, shipping and logistics, and claim handling.
- 3. When Buyer confirms a purchase under an invoice issued by Autowini, the sales contract for that product is formed between Autowini and Buyer. Buyer pays the purchase price under the sales contract with Autowini, and Autowini bears the rights and obligations under that sales contract toward Buyer.
- 4. The consignment sale and settlement relationship between Autowini and the seller who consigned the product is separate from the sales contract between Buyer and Autowini. Buyer has no direct contractual relationship with the seller and has no obligation to pay the seller.
- Article 3 [Trade Terms]
-
- 1. As a rule, Buyer must pay the purchase price in full by T/T (Telegraphic Transfer). However, if the Company provides another payment method, the terms of that payment method apply.
- 2. The sale price, freight, other charges, and trade terms of a product are as shown on the invoice issued by Autowini to Buyer or on the transaction screen.
- 3. Before confirming a purchase, Buyer must check the product information, sale price, trade terms, shipping terms, and other details stated on the invoice.
- Article 4 [Conclusion of Sales Contract and Payment of Purchase Price]
-
- 1. Buyer must confirm or decline the purchase within 48 hours of receiving the invoice issued by Autowini. An invoice not confirmed or declined within this period may be voided, or the transaction may be canceled.
- 2. Buyer must pay the exact amount stated on the invoice to the account in the Company’s name designated by Autowini. The purchase price must be remitted in the name of the Buyer shown on the invoice, and Autowini may refuse remittances made in the name of a third party.
- 3. If there is a problem with Buyer’s payment method, or if payment is delayed beyond the usual period, Autowini may cancel the sales contract or booking.
- 4. The amount Buyer pays to the account in Autowini’s name is the purchase price under the sales contract between Autowini and Buyer and belongs to Autowini as its sales proceeds. Autowini receives the purchase price under its own sales contract and carries out the procedures required to perform the contract, including inspection, shipping, and delivery of the product.
- 5. If a sales contract is canceled, the return of the purchase price is governed by Article 5.
- Article 5 [Purchase Cancellation and Refunds]

- 1. If Buyer cancels a purchase for Buyer’s own reasons after paying the purchase price, a cancellation fee of 50% of the invoice FOB amount applies, with a minimum of USD 1,000.
- 2. If the Company does not receive the purchase price under the sales contract within 7 days from the date Buyer submits the remittance receipt to Autowini staff or uploads it to the website, the booking or sales contract may be canceled.
- 3. If payment of the purchase price is not completed within 30 days of the invoice date, the booking or sales contract may be canceled automatically. If the Company has already received any amount, it will refund that amount to Buyer after deducting a cancellation fee of USD 1,000 per vehicle and any costs Buyer agreed to bear.
- 4. When a sales contract is canceled and the Company returns money to Buyer, it is treated as a return of the purchase price under the sales contract between Autowini and Buyer. As a rule, refunds are made to the account of the Buyer who actually paid or of the original remitter. The Company may request necessary verification documents in accordance with applicable laws and its identity verification and anti-money-laundering procedures.
- Article 6 [Autowini’s Role and Responsibilities]
-
- 1. Autowini is not an intermediary but a party to the sales contract. For products consigned to it by sellers for overseas sale, Autowini conducts marketing and consultation for overseas buyers, concludes sales contracts with buyers in its own name, and performs the work required to fulfill the sales contract, including issuing invoices, quality inspection, shipping and logistics, and claim handling.
- 2. As a party to the sales contract concluded with Buyer, Autowini bears the obligations set out in these Terms and the relevant invoice. Buyer’s claims regarding product information, such as vehicle information, mileage, accident history, and defects, are handled by Autowini in accordance with applicable laws and Autowini’s claim policy.
- 3. Autowini is not liable for loss or damage that occurs without fault on Autowini’s part after arrival at the destination port, such as theft or damage in port areas or areas controlled by third parties. However, if separate liability is recognized under the relevant contract of carriage, insurance, or law, that liability applies.
- 4. If performance of the contract becomes impossible or is delayed due to force majeure events that are reasonably difficult to control, such as natural disasters, war, port closures, or power outages, fires, or communication failures not attributable to the Company, the Company’s liability will be determined in accordance with applicable laws and to the extent of the impact such events had on the transaction.

-
- 1. These Terms are governed by and interpreted in accordance with the laws of the Republic of Korea.
- 2. Matters not set out in these Terms are governed by the individual invoice, Autowini’s relevant usage policies, and applicable laws.
- 3. If a dispute arises in connection with these Terms, the parties will negotiate in good faith to resolve it amicably. If the dispute is not resolved through negotiation, it will be resolved by the competent court under applicable laws.
- 4. These Terms are prepared in Korean and English. If there is any inconsistency between the two versions, the Korean version prevails.
These Terms take effect on October 6, 2026.
